Terms and conditions

As of 7 October 2026

This is a translation; if it differs from the German version, the German version prevails.

1. Scope

These terms and conditions ("Terms") govern the use of the website saldira.ch and of the software Saldira (the "Service"), both offered by Saldira AG, Neue Jonastrasse 44, 8640 Rapperswil SG, Switzerland ("Saldira", "we").

By opening an account, the business for which the account is opened (the "Customer") accepts these Terms. Any terms of the Customer that differ from them do not apply.

2. Pilot phase

Saldira is in a pilot phase and available by invitation only. During the pilot phase we may change, add or remove features.

3. Businesses only

The Service is intended exclusively for businesses and other organisations for their business activities, not for consumers.

Whoever opens an account confirms that they are authorised to do so for the Customer. The contract is concluded when the account is activated. The company name provided becomes the Customer's workspace in Saldira.

4. Fees

Saldira is free of charge during the pilot phase. A move to a paid offering requires the Customer's explicit consent. If the Customer does not consent, its use ends when the free offering ends, and section 12 applies.

5. Access and security

The Customer ensures that its users keep their login credentials and second factor secret. The Customer is responsible for all actions taken through its accounts, including actions of agents and programming interfaces that it or its users have granted access.

If the Customer discovers or suspects misuse of its access, it informs us immediately at hello@saldira.ch.

6. The Customer's responsibility

Saldira is a tool for bookkeeping. The Customer remains responsible for keeping proper books, for its VAT returns, for meeting its statutory retention obligations, for the accuracy of the data entered and for all decisions it makes with Saldira, in particular approvals and payments. Saldira does not provide fiduciary, tax or legal advice.

7. AI features

Saldira includes features that use artificial intelligence, such as reading bills and receipts and the agent in the application. Their proposals and answers may be incorrect or incomplete. The Customer reviews them before approving or relying on them. The privacy policy describes which data is sent to whom for this purpose.

8. The Customer's data

The data that the Customer enters or uploads in Saldira remains the Customer's data. We use it only to provide the Service. The Customer can export its data during use and for 30 days after use ends.

Where this data contains personal data, Saldira processes it as a processor under Art. 9 of the Swiss Federal Act on Data Protection on behalf of the Customer, and only to provide the Service. In all other respects the privacy policy applies.

9. Availability

During the pilot phase we do not guarantee any particular availability. We aim for uninterrupted operation and take appropriate measures to back up data. Maintenance may temporarily limit the Service.

10. Acceptable use

The Customer uses the Service only lawfully and within these Terms. In particular, it must not attack or overload the Service, circumvent security measures, access third-party data without authorisation, or make the Service available to third parties for a fee.

11. Term and termination

The contract runs for an indefinite period. Either party may end it at any time by e-mail. We may also block access immediately if the Customer breaches these Terms or misuse is imminent.

12. Effects of termination

After use ends, the Customer can export its data for 30 days. The account is then closed. The accounting data remains archived for 10 years and is deleted afterwards, as described in the privacy policy.

13. Liability

The Service is provided free of charge during the pilot phase. We are liable only for damage caused unlawfully, intentionally or through gross negligence. Any further liability is excluded to the extent permitted by law, in particular for slight negligence, indirect and consequential damage, lost profit, loss of data, and damage arising from proposals or answers of the AI features that the Customer has adopted.

14. Intellectual property

All rights to Saldira and to the content of the website remain with Saldira AG. For the term of the contract, the Customer receives a non-exclusive, non-transferable right to use the Service for its own business activities.

15. Website

The content of saldira.ch is for general information. We do not warrant that it is complete or up to date. The operators of linked third-party websites are responsible for their content.

16. Changes to these Terms

We may change these Terms. We notify the Customer of changes by e-mail before they take effect. If the Customer does not agree, it may end the contract under section 11. If it continues to use the Service after the changes take effect, the amended Terms are deemed accepted.

17. Final provisions

These Terms are governed by Swiss law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Zug, Switzerland.

These Terms are available in German and English; in case of discrepancies the German version prevails. If any provision is invalid, the remaining provisions remain in force.
